These terms and conditions (“Terms”) set out the agreement between [Your Company Name] (“the Mentor”) and the client (“the Client”) for the provision of sales and marketing mentorship and advisory services (“the Services”). By engaging the Mentor’s Services, the Client agrees to be bound by these Terms.
1. Scope of Services
1.1 Melville Marketing agrees to provide sales and marketing mentorship and advisory services to the Client as agreed upon in writing or specified in an engagement letter.
1.2 The Services may include, but are not limited to, providing guidance, advice, and support on sales and marketing strategies, techniques, and best practices.
1.3 Melville Marketing shall use reasonable skill, care, and diligence in the provision of the Services, in accordance with applicable laws and regulations.
2. Client Obligations
2.1 The Client shall provide accurate and complete information to Melville Marketing regarding their business, goals, and objectives.
2.2 The Client shall cooperate with the Mentor and provide any necessary assistance and access to relevant information or resources required for the provision of the Services.
2.3 The Client acknowledges that the Mentor’s advice and guidance are based on their professional expertise and experience, and
that the Mentor does not guarantee any specific outcomes or results from the Services. The Client acknowledges that the success of implementing the Mentor's advice and guidance depends on various factors, including the Client's own efforts and market conditions.
3. Fees and Payment
3.1 The Client shall pay the Mentor the agreed-upon fees for the Services as specified in the engagement letter or as otherwise agreed in writing.
3.2 Payment shall be made within 5 days from the date of invoice, unless otherwise agreed in writing.
3.3 In the event of late payment, the Mentor reserves the right to charge interest at a rate of 10% per month on the outstanding amount.
4. Confidentiality
4.1 The Mentor acknowledges that during the provision of the Services, they may have access to confidential information of the Client, including but not limited to business plans, financial information, and marketing strategies.
4.2 The Mentor agrees to keep all such confidential information strictly confidential and not to disclose it to any third party without the prior written consent of the Client, except as required by law.
4.3 The Mentor may use the Client's confidential information solely for the purpose of providing the Services and shall take all reasonable measures to ensure its security and protection.
5. Intellectual Property
5.1 Any intellectual property rights arising from the provision of the Services, including but not limited to any materials, documents, or recommendations provided by the Mentor, shall remain the property of the Mentor.
5.2 The Client acknowledges that they shall have a non-exclusive, non-transferable license to use any materials or documents provided by the Mentor solely for their own internal business purposes.
5.3 The Client shall not reproduce, distribute, or disclose any materials or documents provided by the Mentor to any third party without the prior written consent of the Mentor.
6. Limitation of Liability
6.1 The Mentor shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the provision of the Services, including but not limited to loss of profits, loss of business opportunities, or loss of data.
6.2 The Mentor's total liability for any claim arising out of or in connection with the provision of the Services shall be limited to the total fees paid by the Client to the Mentor for the Services.
7. Termination
7.1 Either party may terminate this agreement by providing written notice to the other party.
7.2 In the event of termination, the Client shall pay for any Services provided up to
the date of termination, and any outstanding fees or expenses incurred by the Mentor.
7.3 Termination of this agreement shall not relieve the Client of any payment obligations or liabilities incurred prior to the termination.
8. Governing Law and Jurisdiction
8.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Entire Agreement
9.1 These Terms constitute the entire agreement between the Mentor and the Client and supersede any prior agreements, understandings, or representations, whether oral or written.
9.2 Any amendments or modifications to these Terms must be made in writing and signed by both parties.
By engaging Melville Marketing, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
